Athens, Greece. Eurobank will issue 6,555,561 new ordinary voting shares following the exercise of stock options by 231 members of its management and staff. The new shares are to be admitted to trading on Euronext Athens.

Option exercise

The bank said the options were exercised by all 231 beneficiaries participating in the relevant tranches of its eighth stock option plan between July 23 and August 3.

The exercised options relate to the second, third, fourth and fifth series of the plan, which was established in 2020 and continued by Eurobank after its absorption of Eurobank Ergasias Services and Holdings in December 2025.

Share capital increase

Each option corresponds to one new share. The shares will have a nominal value of €0.22 each, while beneficiaries paid an exercise price of €0.23 per share.

The total cash amount paid for the new shares was €1,507,779.03, Eurobank said.

Eurobank’s board approved the related share capital increase on August 28, 2026, raising capital by €1,442,223.42 through the issue of the 6,555,561 shares.

The difference between the exercise price and the nominal value will be transferred to the bank’s share premium account.

Registration

The amendment to Eurobank’s articles of association reflecting the capital increase was registered with Greece’s General Commercial Register on September 1, 2026, under registration code 6156902.

The stock option scheme is intended to attract and retain management and staff by linking part of their remuneration to Eurobank’s long-term performance through an ownership interest in the bank.
