How to open a company in Cyprus

Choosing a form, name and articles, registration, office, directors, UBO, tax, banking and recurring Cyprus company obligations.

How to open a company in Cyprus

In brief: A company is a separate legal person with continuing duties, not a one-off online registration. Before incorporation, define ownership, management, real activity, tax model and annual running cost. Registration does not guarantee a bank account, residence permit or right to work.

Form and structure

Compare a limited company, partnership, business name and self-employment. For a company, identify shareholders, directors, secretary, registered office, signing authority and ultimate beneficial owners. A Cyprus company’s memorandum and articles are prepared by a lawyer practising in the Republic. Nominee arrangements do not remove disclosure of control or economic substance.

Incorporation

Check and reserve the name, settle the constitutional documents and submit the forms through the Registrar of Companies. Obtain current certificates and establish corporate decisions and registers after incorporation. Beneficial-owner particulars go to a separate electronic register and must be updated when facts change. Do not hand a company or personal CY Login profile to an unauthorised intermediary.

Tax, VAT and staff

Register with the Tax Department, determine VAT and VIES duties, and register as an employer where staff are hired. Corporate tax residence, management, permanent establishments and cross-border activity require separate analysis. Do not choose the structure from a headline rate alone: salary, dividends, GESY, SDC, transfer pricing and filing all affect the result.

Banking and ongoing compliance

A bank will examine the company, UBOs, directors, business model, counterparties, countries and source of capital. Once trading starts, plan bookkeeping, invoices and contracts, tax returns, VAT, payroll, annual return, financial statements and register updates. Create a compliance calendar and named owner before operations begin; missed deadlines can generate penalties and status problems.

Practical checklist

  • compare a company with self-employment and partnership;
  • document owners, governance and UBOs;
  • obtain legally compliant constitutional documents;
  • register tax, VAT and employer duties on the facts;
  • create the annual compliance calendar before trading.

First describe the business, then the legal form

A company is a solution only after you have defined its customers, product, target countries, staff, risks and financing. Registration in Cyprus does not, in itself, create a market, a bank account or tax residency. Draw up an operational model and compare the alternatives.

Partners must agree in advance on shareholdings, decision-making, financing, intellectual property and exit strategies. A model articles of association does not replace a shareholder agreement. Disputes over signing authority are best resolved before the first contract is signed.

Regulated activities require a licence or notification. The wording of the company’s purpose in the register does not constitute authorisation. Check with the relevant regulatory body before accepting funds or advertising the service.

Structure and substance

Identify the shareholders, directors, company secretary, registered office and beneficial owners. A nominee does not exempt a director from disclosure obligations or duties. Powers and responsibilities must be set out in writing.

Tax residence and substance depend on actual management and activities, not merely on a certificate. Where decisions are made, people work and contracts are performed are matters of evidence. An artificial minute entry does not alter the reality on the ground.

A cross-border group analyses permanent establishments, transfer pricing, withholding taxes and contracts. Do not apply a rate from promotional material to a specific structure. Calculations are carried out by cash flows and functions.

Registration and initial operational framework

Check and reserve the name, prepare the corporate documents and register the UBO in accordance with the current procedure. Once you have received the certificates, set up a system for storing decisions and a register of changes. The company will continue to exist long after the initial set of PDFs is issued.

The bank or payment provider carries out a separate KYC process. Prepare a business plan, list of counterparties, proof of funds and anticipated transactions. Registration does not guarantee an account, so do not promise the client account details by a fixed date.

Tax, VAT, payroll, social security contributions and licences each have their own trigger. Create a timeline leading up to your first sale and first hire. A missed tax return does not disappear simply because there is no revenue.

Cost of owning a company

Take into account accounting, auditing, secretarial services, a registered office, banking, licences, payroll and professional consultancy. A low registration fee may conceal annual costs and additional charges for each individual action.

Establish controls over payments, contracts and access. No single person should be solely responsible for setting up a counterparty or sending money without verification. Alternate signatories and access restoration should be planned in advance.

Review annually whether the company aligns with the actual business operations. Winding up the company also involves procedures and costs. The document sets out a draft plan, but the legal and tax structures are finalised by independent specialists based on the facts.
