In order to enjoy advantages of the low tax rates and extensive number of tax treaties, a ”Cyprus” company should be a Cyprus tax resident company. It means that its management and control must be exercised in Cyprus.
There is no precise definition in the law of the meaning of “management and control”, but if the directors of the company are residents in Cyprus, the board meetings are held in Cyprus, the board decisions are taken in Cyprus and contracts and other company documents are signed in Cyprus by the directors, then, most probably, the “management and control” of the company will be considered by the Cyprus tax authorities as being in Cyprus.
